TERMS AND CONDITIONS

relating the services provided by:

International Study Programs, s.r.o.

(hereinafter referred to as the “ISP”)

Whereas:

(A) ISP as a provider of on the ground Study Abroad Programs and Online Educational Programs (hereinafter referred to as the “ISP Product” or “ISP Products” in plural) for academic institutions offers the opportunity to recommend its services;

(B) for every new client brought to ISP, be that a school, university or other educational institution (hereinafter only referred to as the “New Contact ” or the “Institution”), the person recommending an ISP Product (hereinafter only referred to as the “Referrer” or the “Referrers” in plural) could be entitled to receive a reward.

(C) ISP would like to formally regulate the terms and conditions for the recommendation of ISP’s products and services and the reward itself;

the rules (hereinafter only referred the “T&C”) set by ISP are as follows:

I. Basic Rules

1. ISP warmly welcomes recommendations of ISP Products by the Referrers who are typically the employees, collaborators, service providers, faculty members, administrators or a similar role with the academic institution.

For every New Contact that concludes an agreement with ISP for the purchase of an ISP Product amounting to the price of 10,000 USD or higher based on the recommendation of the Referrer, the Referrer shall be entitled to receive a reward. This consists of the possibility to obtain a discount and reward in the amount of 2,000 USD (hereinafter the “Referrer Reward”).

Pertaining to the definition of the T&Cs, the New Contact must be an institution , faculty or a type of program course (e.g. Ugrad, EMBA) that has not purchased any ISP Product since 1.1.2018 nor been involved with any ISP activities since 1.1. 2018 even if these activities are performed based on the purchase of ISP Product before 1.1.2018.

II. Recommendation Procedures

1. To obtain the Referrer Reward the Referrer must demonstrate to ISP that the purchase of an ISP Product was based on their own recommendation. For this purpose, the Referrer may use written documents, mail correspondence, declarations or any other real and trustworthy documents proving the activity of the Referrer. Only ISP is in the position to assess if the documents presented by the Referrer are sufficient for granting the Referrer’s Reward. If the Referrer presents proof or a declaration from the New Contact confirming the activity of the Referrer led to the purchase of an ISP Product, this declaration can then be accepted by ISP and the Referrer’s Reward will be granted.

III. Exercise of the Reward

1. After the New Contact enters into an agreement with ISP for an ISP Product, the Referrer is entitled to use their Referrer Reward within a 12-month period.

If the Referrer terminates their cooperation with the Institution before using the Referrer Reward, the Referrer is entitled to use the Referrer Reward at an Institution where the Referrer is newly active as long as it’s within a period of 12 months after the recommendation.

IV. Miscellaneous

1. ISP is not (and cannot) be responsible for breach of any internal rules at the Institution and/or any applicable law by the Referrers. It is strongly recommended that the existence of such rules is first checked by the Referrers.

2. The personal data provided under these T&C will be processed according to ISP’s policy and the rules are set in a separate document that can be found here.

3. If any provision of these T&C is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

4. These T&C will be governed by, and interpreted in accordance, with the laws of the Czech Republic, the Referrers and the Institutions submit to the jurisdiction of the courts located in the Czech Republic for the resolution of any disputes.
